LawHQ Technology Services LLC (“LawHQ Tech,” “us,” “we,” or “our”) operates a marketplace of sites, products, applications, features, and services (collectively “Services”). Services are provided by LawHQ Tech and by third parties (“Marketplace Providers”).

By accessing, browsing, or using any Service, whether on behalf of yourself or a legal entity, you agree to these General Terms of Service (“General Terms”) and Privacy Policy. You also agree to any additional Service-Specific Terms (“Service-Specific Terms”). In the event Service-Specific Terms differ from the General Terms or Privacy Policy, the Service-Specific Terms shall govern, but only to the extent they differ and only for that specific Service. 1. Using The Services

   You must use the Services only for lawful purposes.

   You must be 13 years of age or older to use the Services, unless we have the consent of your parent or guardian.

   You are prohibited from copying, reproducing, renting, leasing, loaning, or selling content retrieved from any Service, and from modifying, distributing, or reposting code or content from the same for any purpose. You are prohibited and agree not to create or use a false identity to use any Service. You are prohibited from and agree not to collect or store personal data about others. You are prohibited from attempting to gain unauthorized access to Services that are restricted from general access. You are prohibited from reverse engineering or creating derivative works based on the Services, the content of the same, or any layout or design without LawHQ Tech’s express written consent authorizing you specifically to do so.

   Some Services may require you to download software to your phone or other mobile or internet-accessible device. By using any Service, you agree that we can automatically update that software, and that the General Terms, Privacy Policy, and any applicable Service-Specific Terms apply to any current software or future updates.

   LawHQ Tech grants you a limited, non-exclusive, non-transferable, and revocable license to use the Services subject to the General Terms, Privacy Policy, and applicable Service-Specific Terms.

2. Acceptable Use

   You agree not to:

   1. Upload, post, or transmit any content that is unlawful, harmful, defamatory, infringing, harassing, or otherwise objectionable.
   2. Engage in data scraping, harvesting, or any other unauthorized collection of information.
   3. Post or transmit spam, including unsolicited or unauthorized advertising or promotional materials.
   4. Upload or transmit any viruses, malware, or destructive code.
   5. Interfere with, disrupt, or attempt to gain unauthorized access to any servers, networks, or other infrastructure connected to or used by the Services.
   6. Circumvent any access or usage restrictions, or otherwise misuse the Services.

   LawHQ Tech reserves the right to monitor or remove content that it deems in violation of this Acceptable Use Policy or otherwise contrary to the General Terms.

3. Marketplace Providers

   While some Services are provided by LawHQ Tech (“LHQ-Services”), other Services are provided by Marketplace Providers (“MP-Services”). You acknowledge and agree that LawHQ Tech is not responsible for the actions, omissions, or content of Marketplace Providers. LawHQ Tech does not warrant, endorse, or assume liability for any MP-Services.

4. Attorney-Client Relationships

   Your agreement to these General Terms does not create an attorney-client relationship. If an attorney-client relationship is created through your use of a specific Service, it will be confirmed in a separate agreement or in Service-Specific Terms.

5. User-Submitted Data

   You retain ownership of all content, data, and information you submit through the Services (“User-Submitted Data”). LawHQ Tech does not acquire any ownership rights in your User-Submitted Data.

   You grant LawHQ Tech a limited, non-exclusive license to store, transmit, and display User-Submitted Data solely to operate the Services. LawHQ Tech does not review, read, or analyze User-Submitted Data for any purpose other than providing the Services.

   LawHQ Tech handles all User-Submitted Data in accordance with applicable privacy and data protection laws and maintains commercially reasonable security measures to protect its confidentiality.

   LawHQ Tech may collect limited technical information such as feature usage, file or record counts, performance metrics, and error logs to operate, secure, and maintain the Services.

6. Copyright & Intellectual Property

   All content, software, designs, layouts, graphics, trademarks, logos, and other materials provided by LawHQ Tech or made available through the Services, including but not limited to content provided by Marketplace Providers, are protected by copyright, trademark, trade secret, and other intellectual property laws. These materials are owned by or licensed to LawHQ Tech, Marketplace Providers, or other third parties.

   You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use these materials solely as necessary for your lawful use of the Services in compliance with the General Terms and applicable Service-Specific Terms. This license does not include the right to:

   • Copy, reproduce, modify, create derivative works, distribute, publicly display, or otherwise exploit the materials;
   • Reverse engineer, decompile, or disassemble any software or features; or
   • Use any trademarks, logos, or branding without explicit written permission.

   Unauthorized use of copyrighted material or intellectual property may result in the suspension or termination of your access to the Services and may subject you to legal action.

   If you believe that any content or intellectual property provided through the Services infringes on your rights, please notify us contact information provided in our Privacy Policy.

7. Security

   LawHQ Tech works hard to protect your information from unauthorized third parties. You can help keep your information and that of others safe by creating a secure password. Notify us immediately if you suspect someone has used your account without your authorization or if your devices have been compromised.

8. Terminating Access

   LawHQ Tech reserves the right to refuse service to anyone, provided such refusal does not violate applicable laws. LawHQ Tech may suspend or terminate your right to access or use the Services for any lawful reason, with prior notice provided via email or other contact methods associated with your account. If, in our sole discretion, we determine that you have violated the General Terms or any Service-Specific Terms, or if a security concern arises, we may terminate your access without prior notice.

9. Indemnification

   You agree to indemnify, defend, and hold harmless LawHQ Tech, its affiliates, subsidiaries, officers, directors, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees and legal costs) arising out of or related to:

   1. your use of the Services, including any misuse, unauthorized access, or violation of applicable laws or regulations;
   2. your breach of the General Terms or any applicable Service-Specific Terms;
   3. any content, information, or materials you provide through the Services;
   4. any disputes, claims, or liabilities involving Marketplace Providers or other third parties arising from your use of MP-Services; or
   5. the actions, omissions, or content of Marketplace Providers accessed through the Services.

   LawHQ Tech will provide you with written notice of any indemnifiable claim. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree not to settle any claim in a manner that imposes obligations on LawHQ Tech without our prior written consent.

10. Disclaimers

    The Services are provided "as is," without warranty, guarantee, or condition of any kind, whether implied or express. LawHQ Tech explicitly disclaims all warranties, guarantees, or conditions, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. LawHQ Tech also disclaims any warranty arising from the course of dealing or trade usage. LawHQ Tech is not responsible for the actions, omissions, or content of third parties. You understand and agree that Services may be unsuitable for your intended purposes.

    LawHQ Tech does not guarantee uninterrupted access or availability of the Services and reserves the right to perform maintenance or updates that may temporarily affect functionality. LawHQ Tech disclaims responsibility for any loss of data, unauthorized access, or breaches arising from circumstances beyond our control. Additionally, LawHQ Tech does not warrant that the Services will be error-free, bug-free, or compatible with all systems or devices.

11. Force Majeure

    LawHQ Tech shall not be liable for any failure or delay in performance under the General Terms, Privacy Policy, and any Service-Specific Terms, to the extent such failures or delays are proximately caused by causes beyond LawHQ Tech’s reasonable control and occurring without its fault or negligence, including natural disasters, acts of war or terrorism, civil disturbances, strikes, lockouts, labor disturbances, cybersecurity attacks on third-party providers, internet or telecommunications failures, or acts of government.

12. Third-Party Links

    Services may contain links to or integrations with third-party websites or resources that are not owned or controlled by LawHQ Tech. You acknowledge and agree that LawHQ Tech is not responsible or liable for the content, products, or services available from such third-party sites or resources. Your interactions with these third-party sites are solely between you and the applicable third party and are subject to their respective terms and policies.

13. Limits on Liability

    To the fullest extent permitted by law, LawHQ Tech, its affiliates, subsidiaries, officers, directors, employees, agents, and representatives shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or other intangible losses arising from your use of the Services.

    LawHQ Tech’s total liability for all claims is limited to the amount you have paid LawHQ Tech, within the past two years, for LHQ-Services.

14. Governing Law, Venue, and Dispute Resolution

    Any dispute between you and LawHQ Tech shall be construed and controlled by the laws of the State of Utah, United States. You and LawHQ Tech consent to the exclusive jurisdiction and venue in the state or federal courts in Salt Lake County, Utah, United States. You and LawHQ Tech waive all defenses of lack of personal jurisdiction and forum non conveniens. This choice of jurisdiction provision does not prevent you or LawHQ Tech from seeking injunctive relief in any appropriate jurisdiction.

15. International Use

    LHQ-Services are designed for use within the United States. If you access or use LHQ-Services from outside the U.S., you are responsible for ensuring compliance with all applicable local laws and regulations, including but not limited to import and export regulations. LawHQ Tech does not guarantee that LHQ-Services are appropriate or available for use outside the U.S. and may restrict or limit access to certain features or Services in specific locations.

    For MP-Services, the availability and compliance requirements may vary. Any international use of MP-Services is subject to the Service-Specific Terms provided by the applicable Marketplace Provider. LawHQ Tech makes no representations or warranties about the availability, suitability, or legal compliance of MP-Services outside the U.S. Users are encouraged to review the Service-Specific Terms for any additional details regarding international use.

16. Notices and Revisions

    LawHQ Tech reserves the right to revise, at any time, the General Terms, Privacy Policy, and Service-Specific Terms for LHQ-Services. The most current versions will be posted on our website. If you continue to use any Service after a revision is posted on our website, you agree that those revisions are binding.

    For MP-Services, Marketplace Providers reserve the right to revise their Service-Specific Terms for Services they provide. Any such revisions are the responsibility of the applicable Marketplace Provider and will be made available through the Service or as otherwise specified in the Service-Specific Terms.

17. Assignment

    You may not transfer or assign your rights or obligations under the General Terms, Privacy Policy, or Service-Specific Terms without the prior written consent of LawHQ Tech. Any attempt to transfer or assign your rights or obligations in violation of this provision will be null and void. LawHQ Tech may transfer or assign its rights and obligations, in whole or in part, at any time without your consent. Any such assignment will not affect your rights or obligations.

18. No Third-Party Beneficiaries

    The General Terms, Privacy Policy, and Service-Specific Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to this agreement.

19. No Agency or Joint Venture

    Nothing in the General Terms, Privacy Policy, or Service-Specific Terms is intended to or shall be construed to create any agency, partnership, joint venture, employer-employee, or franchisor-franchisee relationship between you and LawHQ Tech. You have no authority (express or implied) to bind LawHQ Tech in any respect.

20. Severability

    If any provision of the General Terms, Privacy Policy, or Service-Specific Terms is deemed invalid or void, that provision will be limited to the minimum extent required so the remaining provisions shall remain in full force and effect.

21. Waiver

    If LawHQ Tech waives any part of the LawHQ Tech Terms, it cannot be considered a continuing waiver or a waiver of other terms. LawHQ Tech’s failure to assert a right or provision granted by the General Terms or Service-Specific Terms is not a waiver of that right or provision. Any waiver must be agreed to by LawHQ Tech in writing.

22. Entire Agreement

    The General Terms, Privacy Policy, and applicable Service-Specific Terms constitute the entire agreement between you and LawHQ Tech and supersede all prior or contemporaneous communications, whether electronic, oral, or written, between you and LawHQ Tech. No other statements or promises by LawHQ Tech or any of its representatives are valid or binding unless set forth in writing and signed by an authorized representative of LawHQ Tech.
